Terms of Service

Template for review. This document is a working draft and must be reviewed by Indonesian counsel before commercial launch.
1. The service
Nusanua is a sourcing coordination platform. We connect buyers with Indonesian suppliers through a request-for-quotation workflow, and provide supporting tools: supplier verification records, quote comparison, sample requests, third-party inspection coordination, document management, milestone payment tracking, and shipping coordination through partner carriers and forwarders.
We coordinate; we do not manufacture goods, operate warehouses, provide inspection services ourselves, or act as a carrier. Where a service is performed by a partner (inspection, freight, payment processing), that partner's own terms apply to their service.
2. Accounts and responsibilities
You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for activity under your account. Supplier accounts must represent a real, legally registered business and must only upload documents and product information they are entitled to use. We may suspend accounts that provide false information, infringe intellectual property, or misuse the platform.
3. Our role in transactions
Nusanua is not a party to any contract formed between a buyer and a supplier. Quotes, orders, samples, and deliveries are agreements between the buyer and the supplier directly. We do not hold funds, operate an escrow account, or take title to goods. Prices, lead times, and product claims shown on the platform are provided by suppliers, and shipping and landed-cost figures are indicative estimates, not binding offers.
4. Payments
The platform records payment milestones and confirmations to give both sides a shared view of order progress. Actual funds movement happens between buyer and supplier, or through a regulated payment partner where such an integration is live. Milestone records on Nusanua are a coordination tool and do not constitute proof of payment or a guarantee that funds have been or will be transferred.
5. Verification
Supplier verification stages reflect the document reviews, desk reviews, and partner-coordinated on-site reviews completed at a point in time. Verification reduces but does not eliminate risk. It is not a guarantee of product quality, delivery, financial standing, or ongoing compliance, and it does not replace your own due diligence, particularly for large or regulated orders.
6. Limitation of liability
To the maximum extent permitted by applicable law, Nusanua is not liable for losses arising from transactions between buyers and suppliers, including non-delivery, defective goods, customs or regulatory issues, or payment disputes. The platform is provided on an as-is basis. Where liability cannot be excluded, it is limited to the fees you have paid to Nusanua in the twelve months before the claim arose.
7. Governing law
These terms are governed by the laws of the Republic of Indonesia. Disputes about these terms that cannot be resolved amicably will be submitted to the competent courts of Jakarta, Indonesia, without prejudice to mandatory consumer or business protections in your own jurisdiction.
8. Changes and contact
We may update these terms as the platform evolves; material changes will be announced on the platform before they take effect. Questions about these terms can be sent to support@nusanua.com.
